In these Terms and Conditions, "C. NET", "we", "us" and "our" refer to C. NET Technologies Ltd. "Customer", "you" and "your" refer to the business or professional entity purchasing products or services from us.

2. B2B Customers Only

The B2B platform is intended exclusively for businesses, organisations, professionals and other customers acting for purposes relating to their trade, business, craft or profession.

By registering or placing an order, you confirm that:

  • you are purchasing for business or professional purposes;
  • the information provided during registration is accurate and complete;
  • you are authorised to act on behalf of the business or organisation;
  • you have the authority to enter into binding agreements on behalf of that business or organisation.

These Terms are intended for business-to-business transactions and are not intended to govern consumer purchases.

C. NET reserves the right to refuse registration or cancel an order where we reasonably believe that an account is being used for consumer purchases or where the information supplied is inaccurate or misleading.

3. Registration and Customer Accounts

Certain features of the platform may require registration.

You are responsible for maintaining the confidentiality of your account credentials and for all activity performed through your account.

You must notify C. NET promptly if you believe that your account credentials have been compromised or used without authorisation.

C. NET may suspend or terminate an account where there is reasonable evidence of misuse, fraud, non-payment, security risks, or violation of these Terms.

4. Product Information

We make reasonable efforts to ensure that product descriptions, images, specifications and other information displayed on the platform are accurate and up to date.

However:

  • product images may be for illustration purposes;
  • manufacturers may change specifications without notice;
  • colours, dimensions and other visual characteristics may vary;
  • packaging may differ from images shown on the platform;
  • availability and specifications may change without notice.

Where the manufacturer's specifications differ from information displayed on the platform, the manufacturer's current specifications shall generally apply.

If a particular specification is essential to your purchase, you should confirm it with C. NET before placing the order.

5. Product Availability

Products displayed on the platform may be subject to availability.

A product being displayed as available does not necessarily constitute a binding obligation to supply that product.

C. NET may contact you if a product becomes unavailable, is discontinued, has an incorrect price, or cannot be supplied within the expected timeframe.

Where an order cannot be fulfilled, C. NET may cancel the affected order or product and refund any payment already received for the affected item.

6. Prices and VAT

Unless otherwise stated, prices displayed on the platform are in EUR (€).

Prices may be displayed exclusive or inclusive of VAT depending on the applicable customer/account configuration.

The applicable VAT rate will be shown during the ordering process where applicable.

The VAT registration number of C. NET Technologies Ltd is CY10270517Z.

For eligible intra-EU B2B transactions, VAT treatment may differ depending on the Customer's VAT status, country of establishment, validity of the VAT registration number, place of supply and applicable tax legislation.

The Customer is responsible for providing accurate company and VAT information where required.

C. NET reserves the right to change prices at any time. Price changes will not affect orders that have already been accepted by C. NET, except where an obvious pricing error has occurred.

Special pricing, promotional pricing, customer-specific pricing and trade discounts may be subject to specific conditions.

7. Pricing Errors

While we take reasonable care to ensure that prices and product information are accurate, errors may occasionally occur.

If a product has been listed at an obviously incorrect price, C. NET may contact you before processing the order.

We reserve the right to cancel an order affected by an obvious pricing or product-information error and refund any payment received.

8. Quotations

Customers may request quotations through the platform or through other C. NET sales channels.

Unless otherwise stated in the quotation, quotations:

  • are valid for the period specified;
  • are subject to product availability;
  • may be subject to manufacturer or distributor pricing;
  • do not constitute acceptance of an order.

A quotation becomes binding only when accepted by C. NET in accordance with the quotation's terms.

Special-order, customised, project-based or non-stock products may be subject to additional terms specified in the quotation.

9. Orders

Orders may be submitted through the B2B platform or through other approved C. NET sales channels.

Submitting an order constitutes an offer by the Customer to purchase the selected products.

An automated order confirmation confirms that the order has been received but does not necessarily constitute acceptance of the order.

C. NET may accept or reject an order at its discretion, including where:

  • products are unavailable;
  • pricing information is incorrect;
  • payment cannot be authorised;
  • the Customer has outstanding debts;
  • the Customer's account has been suspended;
  • there is suspected fraud or misuse;
  • the order contains an obvious error.

A contract for the relevant products is formed when C. NET confirms acceptance of the order or dispatches the products, as applicable.

10. Payment

Payment must be made using one of the payment methods made available by C. NET.

Payment methods may include:

  • bank transfer;
  • credit/debit card;
  • other electronic payment methods;
  • approved business credit accounts.

C. NET may require payment in advance for certain products, customers or orders.

For customers with approved credit facilities, payment must be made within the agreed credit period.

C. NET reserves the right to suspend further orders or services where invoices are overdue.

11. Credit Accounts

Credit facilities are subject to approval by C. NET.

The availability of a credit facility does not constitute a permanent entitlement to credit.

C. NET may review, reduce, suspend or withdraw credit facilities where appropriate, including where payments are overdue or the Customer's financial circumstances create reasonable concerns regarding payment.

Unless otherwise agreed in writing, all invoices must be paid by their stated due date.

12. Late Payment

Where an amount remains unpaid after its due date, C. NET may, subject to applicable law:

  • suspend further orders;
  • suspend credit facilities;
  • suspend services or support;
  • require payment in advance;
  • recover reasonable costs associated with collection of overdue amounts;
  • charge applicable interest where permitted by law or agreed contractually.

These rights are without prejudice to any other rights available to C. NET.

13. Delivery

C. NET will make reasonable efforts to deliver products within the estimated delivery period provided at the time of ordering.

Delivery times are estimates unless expressly confirmed in writing as guaranteed.

Delivery may be affected by:

  • supplier availability;
  • manufacturer delays;
  • courier delays;
  • customs or import procedures;
  • shortages;
  • events outside C. NET's reasonable control.

Partial deliveries may be made where appropriate.

The Customer is responsible for providing accurate delivery information and ensuring that someone authorised to receive the goods is available where required.

14. Delivery Inspection

The Customer should inspect products as soon as reasonably practicable after delivery.

Where products or packaging appear damaged on delivery, the Customer should record the damage with the delivery provider and notify C. NET as soon as possible.

Where appropriate, photographic evidence may be requested to assist with a transport or warranty claim.

Failure to report apparent transport damage immediately does not automatically eliminate any rights the Customer may have under applicable law, but may make investigation and recovery more difficult.

15. Risk and Title

Unless otherwise agreed in writing, risk in the products passes to the Customer upon delivery.

Ownership of products remains with C. NET until C. NET has received full payment of all amounts due for those products.

Where products are supplied on credit, the Customer agrees not to deal with the products in a manner that would prejudice C. NET's ownership rights before title has passed, to the extent permitted by applicable law.

16. Returns and Order Cancellation

Because the platform is intended for B2B transactions, consumer distance-selling cancellation rights do not automatically apply to purchases made through the platform by businesses.

A Customer may request cancellation of an order before dispatch by contacting C. NET.

Cancellation is subject to acceptance by C. NET.

Products that have been specially ordered, configured, customised, engraved, licensed, activated, opened, or supplied specifically for the Customer may not be eligible for cancellation or return.

Where a return is accepted, C. NET may require the product to be returned in its original condition and packaging.

Any applicable restocking, handling, shipping or other charges will be communicated to the Customer where applicable.

Nothing in this section excludes or limits any mandatory rights or remedies that may apply under applicable law.

17. Returns of Defective Products

If a product is believed to be defective, the Customer should contact C. NET's service department and provide the relevant:

  • invoice or order number;
  • product information;
  • serial number, where applicable;
  • description of the fault;
  • supporting photographs or other information where requested.

C. NET may provide an RMA (Return Merchandise Authorisation) number or other return instructions.

Products should not be returned without prior authorisation unless otherwise instructed.

Where a defect is confirmed, the remedy may include repair, replacement, credit, refund, or another appropriate remedy depending on the product, manufacturer warranty, applicable law and circumstances of the case.

18. Manufacturer Warranties

Many products sold by C. NET are covered by manufacturer or distributor warranties.

Warranty duration and conditions vary by manufacturer and product.

Where applicable, warranty claims may be handled directly by the manufacturer, authorised service centre, distributor, or C. NET.

The Customer agrees to comply with reasonable troubleshooting and diagnostic procedures before an RMA is issued.

Warranty coverage may not apply to failures resulting from:

  • misuse;
  • accidental damage;
  • physical damage;
  • liquid damage;
  • improper installation;
  • electrical damage;
  • unauthorised modification;
  • use outside manufacturer specifications;
  • normal wear and tear;
  • software or configuration issues not covered by the applicable warranty.

The specific manufacturer's warranty terms may apply in addition to these Terms.

Nothing in this section is intended to exclude mandatory statutory rights that cannot legally be excluded.

19. Software, Licences and Digital Products

Software licences, subscriptions, cloud services, activation keys and digital products may be subject to additional licence terms imposed by the relevant manufacturer or software publisher.

Once a licence key has been disclosed, activated, registered or otherwise used, cancellation or refund may not be possible where prohibited by the applicable licence terms.

The Customer is responsible for ensuring that software is used in accordance with the applicable licence agreement.

20. Compatibility

The Customer is responsible for ensuring that products are suitable for its intended use and compatible with its existing equipment, systems and infrastructure unless C. NET has expressly agreed in writing to provide compatibility advice or system design.

Where C. NET provides technical advice, such advice is based on the information provided by the Customer.

The Customer remains responsible for verifying requirements before placing an order.

21. Services and Installation

Where C. NET provides installation, configuration, maintenance, support or other professional services, those services may be subject to a separate quotation, statement of work or service agreement.

Where a separate agreement exists, its terms will apply to the relevant services.

Additional charges may apply for work outside the agreed scope.

22. Data Protection and Privacy

C. NET processes personal data in accordance with applicable data-protection legislation, including the EU General Data Protection Regulation (GDPR) where applicable.

Personal information may be processed for purposes including:

  • creating and managing customer accounts;
  • processing orders;
  • processing payments;
  • delivering products;
  • providing technical support;
  • handling warranties and returns;
  • communicating with customers;
  • maintaining accounting and legal records;
  • preventing fraud and misuse.

Further information about the processing of personal data is provided in C. NET's Privacy Policy.

23. Intellectual Property

All content on b2b.cnet.cy, including text, graphics, logos, photographs, product information, website design and software, is owned by or licensed to C. NET or the relevant rights holder and is protected by applicable intellectual-property laws.

Customers may use the platform for legitimate business purchasing purposes only.

No part of the website may be copied, reproduced, distributed, modified or commercially exploited without appropriate permission.

Product names, trademarks and logos belonging to manufacturers and third parties remain the property of their respective owners.

24. Website Use

Customers must not:

  • use the platform for unlawful purposes;
  • attempt to gain unauthorised access to systems or accounts;
  • interfere with the operation or security of the platform;
  • introduce malicious software;
  • use automated systems to abuse or overload the platform;
  • submit false, fraudulent or misleading information;
  • attempt to circumvent pricing, account or access controls.

C. NET may suspend access where misuse or security concerns are identified.

25. Limitation of Liability

To the maximum extent permitted by applicable law, C. NET shall not be liable for indirect, incidental, special or consequential losses arising from the purchase or use of products or services, including loss of profits, revenue, business opportunities, anticipated savings or data.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

C. NET's liability, where legally capable of being limited, shall be limited to the amount paid or payable by the Customer for the specific product or service giving rise to the relevant claim, except where a different limitation is required by applicable law or expressly agreed in writing.

26. Force Majeure

C. NET shall not be responsible for delays or failure to perform obligations caused by circumstances beyond its reasonable control.

Such circumstances may include, without limitation:

  • natural disasters;
  • fire;
  • flood;
  • war;
  • terrorism;
  • civil unrest;
  • government action;
  • strikes;
  • transportation disruption;
  • telecommunications or internet failures;
  • cyber incidents;
  • supplier or manufacturer disruption;
  • shortages of materials or products;
  • energy shortages;
  • pandemics or other widespread emergencies.

C. NET will make reasonable efforts to minimise the effects of such events.

27. Suspension and Termination

C. NET may suspend or terminate a Customer's account where:

  • invoices remain unpaid;
  • fraudulent activity is suspected;
  • the account is being misused;
  • false information has been provided;
  • the Customer materially breaches these Terms;
  • continued access presents a security or legal risk.

Termination does not affect rights or obligations that arose before termination.

28. Third-Party Websites and Services

The platform may contain links to manufacturer, supplier, payment-provider or other third-party websites.

C. NET is not responsible for the content, availability, security or policies of third-party websites.

Third-party products and services may be subject to separate terms imposed by their respective providers.

29. Changes to These Terms

C. NET may update these Terms from time to time.

The latest version will be published on the B2B platform together with the applicable effective date.

Changes will not retrospectively modify contractual obligations that have already been accepted unless required by law or agreed with the Customer.

30. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable where legally possible.

The remaining provisions shall continue in full force and effect.

31. No Waiver

Failure by C. NET to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.

32. Governing Law

These Terms and any agreement between C. NET and the Customer shall be governed by the laws of the Republic of Cyprus, unless otherwise required by applicable law or expressly agreed in writing.

33. Jurisdiction

Subject to any mandatory rights or jurisdiction provided by applicable law, the courts of the Republic of Cyprus shall have jurisdiction over disputes arising from or relating to these Terms, orders, products or services supplied by C. NET.

34. Entire Agreement

These Terms, together with any applicable quotation, order confirmation, service agreement, product-specific terms and other written agreement between C. NET and the Customer, constitute the agreement governing the relevant transaction.

Where there is a conflict between these Terms and a separately signed written agreement, the separately signed agreement shall prevail to the extent of the conflict.
